Platform: The website and services provided by ExitLeap to facilitate buying and selling small businesses. User: Any individual or entity using the Platform. Member Account: A registered account on the Platform, associated with either a Buyer or Seller. Content: Any text, images, or data uploaded or posted to the Platform by Users.
To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a contract. If you are using the Platform on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.
Member Accounts: Users must register for a Member Account to access certain features of the Platform. Each account must be associated with a valid email address and password.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

Accuracy: Users are responsible for ensuring that all listings are accurate and up-to-date.
Content License: By submitting content to the Platform, you grant ExitLeap a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content in connection with the operation of the Platform.
Removal: ExitLeap reserves the right to remove any listing or content that violates these Terms or is deemed inappropriate at our sole discretion.
Fees: Users may be charged fees for certain services offered on the Platform. All fees are non-refundable. Payment: Payment must be made through the designated payment methods available on the Platform. Users are responsible for any applicable taxes.
Ownership: All content on the Platform, excluding User-generated content, is the property of ExitLeap or its licensors. License: Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.

Termination by User: You may terminate your account at any time by contacting us.
Termination by ExitLeap: We reserve the right to suspend or terminate your access to the Platform for any violation of these Terms or for any other reason at our sole discretion.
To the maximum extent permitted by law, ExitLeap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.
You agree to indemnify, defend, and hold harmless ExitLeap, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of the Platform, violation of these Terms, or infringement of any intellectual property rights.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of New York. Arbitration: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
ExitLeap reserves the right to modify these Terms at any time. We will notify Users of any changes by posting the new Terms on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
